Coach Kingsley Terms of Service

1. Who You Are Contracting With

Coach Kingsley is operated by Kingsway Education Technologies LLC ("Kingsway", "we", "us"). Coach Kingsley is a trading name of Kingsway Education Technologies LLC. By using the service you are entering into an agreement with Kingsway Education Technologies LLC.

2. Acceptance of Terms

By creating an account, enrolling a student, purchasing access, or continuing to use Coach Kingsley, you agree to these Terms. If you are enrolling a student, you confirm that you are the student's parent, legal guardian, or authorized adult, and that you have authority to accept these Terms on the student's behalf.

3. What Coach Kingsley Is

Coach Kingsley is an AI-powered entrepreneurship learning coach for students primarily ages 12–18. It explains concepts, gives examples, asks questions, and gives formative feedback while the student does the thinking, research, decisions, and building. Our principle is: "I'm the coach. You're the founder."

Coach Kingsley is offered in different ways, and each works a little differently:

• Founder Track — a self-guided subscription program set up by a parent/guardian, with weekly lesson releases and a parent/guardian view of progress.
• KYEA Academy — an instructor-led program where Kingsway instructors teach, review submissions, and give feedback.
• Partner Access — access provided to Students through a school, youth organization, or other Organization, where that Organization's Educators/Facilitators lead the program within the access they have been granted.

4. Parent / Guardian Responsibility

For family accounts, a parent, legal guardian, or authorized adult is responsible for enrolling the Student, managing billing, reviewing communications, and supporting appropriate use. For Organization-provided accounts, the Organization is responsible for authorizing Student access under its own agreement with Kingsway.

5. Student Use

Students are expected to use Coach Kingsley respectfully and honestly, and to complete their own thinking, writing, decision-making, and creating. Students remain responsible for their final answers and submitted work.

6. AI-Generated Feedback

Coach Kingsley's explanations and feedback are generated by AI. They can be incomplete, misunderstand a question, or be wrong. Students and families should evaluate feedback critically, verify facts, and do real research rather than treating AI output as evidence.

Decisions made with the help of Coach Kingsley are the Student's (and, where appropriate, the family's) own. Using Coach Kingsley does not guarantee business success, sales, profit, investment, funding, admission, awards, intellectual-property protection, or legal compliance.

Pitch Practice rubric and readiness results are formative coaching, not an official grade or institutional decision.

7. Educational Information, Not Professional Advice

Students will naturally talk about money, pricing, business formation, contracts, taxes, trademarks, intellectual property, and investing. Coach Kingsley can explain these topics for learning purposes, but it does not replace an attorney, accountant, tax adviser, financial adviser, or other licensed professional. For real decisions with legal, financial, or safety consequences, Students should involve a parent/guardian or other trusted adult and, where needed, a qualified professional.

8. Accounts and Access

Keep login credentials secure; you are responsible for activity under your account. Access is tied to the Student's enrollment in a specific program and its status. Organization-provided accounts may also be governed by that Organization's rules, and access may end when the program or the Organization's authorization ends.

9. Your Content Belongs to You

Students and other users keep ownership of the original content they create or upload, including business ideas, assignment responses, business plans, research, branding, prototype and MVP concepts, pitches, Pitch Practice recordings, Launch Kit materials, and other student-created files.

Using Coach Kingsley does not transfer ownership of a Student's original business idea, venture concept, pitch, brand, or student-created work to Kingsway, subject to applicable law and the rights of third parties.

10. The Limited License You Give Us

To run the service, you grant Kingsway a limited, non-exclusive license to host, store, process, display, analyze, secure, transmit, and provide feedback on your content — only as reasonably necessary to operate Coach Kingsley for you and the people you have authorized (for example, a parent/guardian or an Educator/Facilitator in your program). This license does not allow Kingsway to sell, commercialize, or publish a Student's business ideas or work, and it ends when the content is deleted, except for copies we must keep for legal reasons or that remain briefly in backups until they are overwritten.

11. Pitch Practice Recordings

Pitch Practice voice and video recordings are kept for up to 12 months from the date of the attempt. Students can download their own recordings while they are available and can delete an attempt at any time before then. When an attempt is deleted or expires, the recording is removed together with its transcript, delivery measurements, Coach Kingsley feedback, rubric results, and linked Judge Q&A. 12. Platform Content and Intellectual Property

Kingsway retains all ownership and intellectual property rights in the Coach Kingsley platform, curriculum, lesson structures, prompts, designs, software, and branding. These materials may not be copied, resold, redistributed, reverse engineered, or used to create competing materials without permission.

13. Acceptable Use

To keep Coach Kingsley safe and fair for everyone, please do not:

• pretend to be someone else or use another person's account
• try to access another Student's account, work, or messages
• upload content you don't have the right to use
• use Coach Kingsley for anything unlawful, or to create harassing, hateful, threatening, or deceptive content
• harass or threaten anyone through messages or other communication features
• upload malicious files or code, or try to bypass security or technical limits
• try to extract Coach Kingsley's instructions, system prompts, or secrets
• scrape the service or overload it with automated or excessive use

14. How We Enforce These Rules

If something goes wrong, our first step with a Student is usually to guide, not punish. Where needed, we may remove or restrict content, filter or refuse AI outputs, or limit or suspend access. Rights holders may report suspected infringement to info@kingswayyea.org; repeated infringement may lead to termination.

15. Payments and Subscriptions (Founder Track)

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Founder Track is offered as a monthly or annual subscription that renews automatically until canceled. Current prices are shown on our Pricing page. Payment, billing, currency, tax, invoicing, cancellation, and refund mechanics are governed by Paddle's Checkout Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms and Paddle's Refund Policy at https://www.paddle.com/legal/refund-policy.

16. Cancellation and Refunds

Families may cancel future renewals at any time, and access generally continues until the end of the paid billing period.

17. Organization (Partner Access) Use

When an Organization provides Coach Kingsley to its Students, that use may also be governed by a signed Partner Access Agreement, Order Form, student data or privacy addendum, and other Organization-specific terms. Where a signed agreement with an Organization conflicts with these Terms for that Organization's use, the signed agreement governs to the extent it says so.

18. Service Level and Warranties

We do not guarantee that the service will be uninterrupted, error-free, or available at all times. To the fullest extent permitted by law, all implied warranties, including merchantability and fitness for a particular purpose, are disclaimed.

19. Service Changes

Coach Kingsley may update features, lessons, pricing, policies, and platform functionality over time.

20. Suspension or Termination of Access

Access may be suspended, revoked, or terminated for material breach of these Terms, non-payment, security or fraud risk, safety concerns, misuse, or repeated or serious policy violations. Revoking one program enrollment does not automatically delete the user account or other program enrollments.

Ending access does not give Kingsway ownership of any Student content. Our retention and deletion practices described in the Privacy Policy continue to apply.

21. Connected AI Apps (Agent Integrations)

You may connect an outside AI assistant (for example ChatGPT or Claude) to your Coach Kingsley account. A connection must be authorized by you on our consent screen and approved by Coach Kingsley before it works, and it grants read-only access to your own account data: basic profile and email, the published curriculum your account is entitled to, your lesson progress, and your assignment submissions and instructor feedback. Connected apps cannot create, change, or delete anything.

Information a connected app reads leaves Coach Kingsley and is then handled by that app's provider under their own terms, privacy policy, and retention rules. We are not responsible for what a provider you authorize does with it. If the account belongs to a student under 18, a parent or guardian should make this decision.

You must not use a connected app to have work written for a student, to bulk-extract or redistribute Coach Kingsley curriculum, or to access another person's account. Connection activity is logged and rate limited, connections may be suspended or revoked at any time for misuse or security reasons, and you can remove any connection yourself from Profile > Connected AI apps.

22. Governing Law and Contact

These Terms are governed by the laws applicable to Kingsway Education Technologies LLC's place of establishment, and disputes will be handled by the courts of that jurisdiction, except where local consumer law grants you other rights.
